These terms were prepared in English, and the English version shall prevail in the event of any conflict, discrepancy, or ambiguity between translations.

BLOKIMENTS

Blokiments (website: https://blokiments.com/, the “Website”) is a blockchain analytical platform where users can analyze various Blockchain Projects using different filters (the “Platform”). It is wholly owned, developed, and managed by Blokiments d.o.o. Blokiments d.o.o. (hereinafter referred to as “BLOKIMENTS”) was incorporated in the Republic of Slovenia with a company number of 9615130000.

ABOUT THE TERMS

These terms of services and any other documents expressly incorporated herein (together, the “Terms”) constitute an agreement between BLOKIMENTS and any of its subsidiaries or affiliates (“BLOKIMENTS, “we,” “us,” “our”) and you (“you,” “user”). In the event of any inconsistency between these Terms and any other documents, the provisions shall prevail to the extent of such inconsistency. All other information provided on the Platform or oral/written statements made are excluded from these Terms and do not constitute a legal agreement between the parties. These Terms govern the use of the Platform and the Services.

By accessing and using the Platform and the Services provided by BLOKIMENTS, you acknowledge that you have read, considered, understood, and unconditionally agreed to be bound by these Terms.

BLOKIMENTS may, without notice, amend the Terms at any time. The version posted on the Website is effective, and you should use it as a reference. It is your responsibility to inform yourself regarding the Terms and be familiarized with the modifications that affect or will affect you. You agree to continue to be bound by any such amended Terms and that BLOKIMENTS has no obligation to notify you of such amendments. You acknowledge that you are responsible for checking these Terms periodically for changes and that your continued use of the Platform and Services after posting any changes indicates your acceptance of any such changes.

BLOKIMENTS owns the Platform and the copyright in all text, graphics, images, software, and any other materials on the Platform, including all trademarks and other Intellectual Property Rights in respect of materials and Services on the Platform. Materials on the Platform may only be used for personal use and non-commercial purposes.

DEFINITIONS

In these Terms:

"Applicable Law" means all civil and common laws, statutes, subordinate legislation, treaties, regulations, directives, decisions, by-laws, ordinances, circulars, codes, orders, notices, demands, decrees, injunctions, resolutions, rules and judgments of any government, quasi-government, statutory, administrative or regulatory body, court, agency or association by which any member of BLOKIMENTS or you are bound in any jurisdiction applicable to the receipt or performance of the Services.

"APIs" means Application Programming Interfaces.

“Blockchain Project“ means any initiative or endeavor in which a crypto asset, such as a cryptocurrency or crypto-token, is created, issued, or managed on any blockchain network. These networks may include but are not limited to, Ethereum, Binance Chain, Base, Arbitrum, or any other blockchain networks supported by the Blokiments Platform.

"Blokiments Platform" means the web platform operated by BLOKIMENTS, which is accessible on the Website, where Users can use different filters and other features to obtain information about Blockchain Projects related to issuances of crypto assets.

"Intellectual Property Rights" means any registered or unregistered design rights, patents, copyright, database rights, data protection rights, trademarks, service marks, logos, trade names, rights in domain names, rights in undisclosed or confidential information (such as know-how, trade secrets, and inventions (whether or not patentable)) moral rights and any other similar intellectual or industrial property rights (whether registered or not) and applications for such rights as may exist anywhere in the world.

"User" means any Explorer, Light or Premium user of the Platform.

“Software” means the software licensed by Us, including all programs, databases, and any other derived content requiring download, whether accessible or otherwise used by you through the Platform and allowing you to use our Services.

SERVICES

What BLOKIMENTS provides:

BLOKIMENTS is the creator and operator of the Platform. Through the Platform, BLOKIMENTS provides Services to the registered and unregistered (Explorer) users.

Services provided by BLOKIMENTS through the Platform include:

a) the filters and other features accessible through the Platform;

b) any downloadable material from the Website;

c) any information, content, or other material published or provided by BLOKIMENTS in any way concerning any subject matter (including any research materials, market data, or blogs).

The Services List, published on ______________, lists all Services and is an integral part of these Terms.

What BLOKIMENTS is not / does not provide:

BLOKIMENTS does not provide licensed or regulated financial services like investment, fund management, or investment advice.

BLOKIMENTS does not act as the user’s broker, intermediary, agent, or advisor in any fiduciary capacity.

BLOKIMENTS is not a provider of (a) exchange services between crypto assets and fiat currencies or between crypto assets, (b) wallet or any other form of custodial services of credentials necessary to access cryptocurrencies, (c) cryptocurrency mining services, (d) crypto advisory services.

BLOKIMENTS does not have its native crypto-asset and is unrelated to any Blockchain Project.

None of the information or analyses presented on the Platform are intended to form the basis for any investment decision, no specific recommendations are intended, and BLOKIMENTS Services and Website do not offer, are not, and shall not be construed as investment or financial products.

However, we provide information on the scoring of a specific blockchain project using available filters. This must not be considered investment advice, nor should it be construed as such. Your decision to purchase or sell a crypto asset is solely your decision, and we shall not be liable for any loss suffered.

If any regulatory changes impact BLOKIMENTS, BLOKIMENTS reserves the right to amend the Website and its Services.

MANDATORY CONDUCT ON THE PLATFORM AND USER’S WARRANTIES

When accessing and using the Service, you must:

a) not carry out any activity that: (i) involves proceeds from any illegal or unlawful activity (including activities relating to cryptocurrency tumblers, darknet markets, money laundering or terrorism financing); (ii) publishes, distributes, or disseminates any illegal or unlawful material or information; or (iii) otherwise violates, or could violate any Applicable Law;

b) not attempt to undermine the security or integrity of BLOKIMENTS computing systems or networks or, where a third party hosts the Services, that third party’s computing systems and networks;

c) not use or misuse, the Services in any way which may impair the functionality of the Services or Platform, or other systems used to deliver the Services or impair the ability of any other user to use the Services or Platform;

d) not attempt to gain unauthorized access to the computer system on which the Platform is hosted or to any materials other than those to which you have been given express permission to access;

e) not transmit or input into the Platform any files that may damage any other person’s computing devices or software; content that may be offensive; or material or data in violation of any law (including data or other material protected by copyright or trade secrets which you do not have the right to use);

f) not attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse-engineer Software used to deliver the Services or to operate the Platform except as is strictly necessary to use either of them for regular operation;

g) ensure that all usernames and passwords required to access the Platform are kept secure and confidential. You are responsible for ensuring that your login and password details are confidential and not disclosed to anyone. Every person who identifies him/herself by entering your username and password is assumed by us to be You. We will not be responsible for any third-party access to your account. We are in no way responsible if the Client forgets, misplaces, or loses his login and password details, except because of an error on the BLOKIMENTS' part.

h) immediately notify BLOKIMENTS of any unauthorized use of your password or any other breach of security, and we will reset your password(s) upon such notification;

i) understand and accept that we cannot provide you with any legal advice or assurances. It is your sole responsibility to ensure that you always comply with the laws that govern you and have the complete legal right to use the Services on the Platform. Any use of the Services is at your sole discretion and risk.

j) you acknowledge that you do not find the Services available on the Website offensive, objectionable, unfair, or indecent in any way.

You acknowledge and agree that:

a) the information provided on the Platform is for general information purposes only and is given in good faith. However, the information is selective. BLOKIMENTS may not verify all information, which may not be complete or accurate for your purposes and should only be relied upon with further inquiry. The information and Services should not be construed as a recommendation to buy or sell specific crypto assets or engage the Services provided by BLOKIMENTS in a particular manner;

b) BLOKIMENTS does not warrant that the use of the Platform will be uninterrupted or error-free. Amongst other things, the operation and availability of the blockchain protocols used for obtaining the information for the Platform can be unpredictable and may occasionally be unstable. BLOKIMENTS is not responsible for any interference that prevents your access or use of the Services.

c) none of the Services amount to investment advice or any marketing, promotion, or offer of any product or investment to you or any third party. You are solely responsible for any losses, damages or costs resulting from your reliance on any data or information that the BLOKIMENTS may provide in connection with your use of the Services. You will make your own independent decision to access or use the Services.

Use of the Services may be subject to limitations, which BLOKIMENTS will communicate. The User acknowledges that some features of the Platform may only be available in some countries or jurisdictions.

ELIGIBLE USER

By accessing the Platform, using the Services, or registering as a User, you represent, warrant, and undertake that:

a) you have accepted the Terms;

b) you are at least 18 years of age and can accept the Terms;

c) your use of the Services does not constitute a breach of Applicable Law;

d) you are aware of the risks of using the Services provided by BLOKIMENTS and have the necessary experience and knowledge to understand the risks involved with each Service provided by BLOKIMENTS.

e) you acknowledge and agree that the Services should only be used by you if you:

i) have knowledge and experience in highly volatile markets and

ii) have a high-risk tolerance.

● f) you will not be involved or initiate any form of market manipulation.

TYPES OF USERS AND REGISTRATION

In order to use the Blokiments Platform, users are categorized into three types: (i) Explorer users, (ii) Light users, and (iii) Premium users.

UNREGISTERED USER - EXPLORER USER:

No registration on the Blokiments Platform is required. Explorer users can access limited services available on the Blokiments Platform. By registering on the Platform, Explorer users can transfer to Light user or Premium user status.

REGISTERED USER - LIGHT USER:

To start using our Services as a “Light user,” you must register on our Website. You can open an initial account by providing your email address and user name (alias).

BLOKIMENTS can request from you any additional identifying information and support documents at any time at the request of any competent authority or in case of application of any applicable law or regulation, including laws related to anti-money laundering (legalization) of incomes obtained by criminal means, or for counteracting financing of terrorism.

We may occasionally implement policies restricting verification levels by nationality, country of residence, or any other factor. This may affect your right to use our Services.

By accessing the Website and using the Services, you are granted a personal, non-exclusive, non-transferable license to use the Software, according to these Terms and including the clauses in this section.

Light user is not required to pay any subscription fee or other costs to use the Blokiments Platform.

Light users can access a broader range of services accessible through the Blokiments Platform, though some limitations remain compared to the Premium users. See the limitations on the Services List.

REGISTERED USER – PREMIUM USER:

A Light user who subscribes to the Blokiments Platform becomes a Premium user. A paid subscription provides full access to all Services based on the limitations set by the Platform (“tiered access”).

The Platform may introduce different tiers of Services available to Premium users or modify such tiers at its discretion.

USER ACCOUNT

The Platform provides a user interface that facilitates the use of Services, personalization of the user’s profile, and communication with other stakeholders.

Each user is solely responsible for maintaining the confidentiality and security of their credentials (username, password, and any other authentication methods) to access their account. Any unauthorized use of the account due to credential mismanagement will be the responsibility of the user, and Blokiments will not be held liable for any resulting loss or damages.

The user can terminate the User Account at any time by sending an email to [e-mail].

OUR ACTIONS AND DISCRETIONS

We may freeze any account if we suspect or have reason to believe you are engaged in suspicious activities or have breached any of the above warranties or other provisions of these Terms. While your account is frozen, we will investigate, and you may be required to cooperate with our inquiries. During the investigation stage, you will not have access to your account. At the end of the investigation, we may, at our discretion, close your account, for which we are not required to provide you with any reasons.

We reserve the right to close your account at any time.

BLOKIMENTS reserves the right, at its discretion and at all times, to:

● decline to open an account and to close an existing account without any explanation whatsoever;

● suspend the User’s account whenever the Company thinks that there are legitimate concerns that an account is, has been, or may be used for illegal, fraudulent, or dishonest practices;

FEES

You agree to pay BLOKIMENTS subscription and other fees (if applicable) for using the Services. The fees are stipulated and made available at https://blokiments.com/pricing (“Fee Schedule”). Fee Schedule is an integral part of these Terms.

Fees may change from time to time. Changes to the Fee Schedule are effective as of the date indicated in the posting of the revised Fee Schedule to the Services. They will apply prospectively to any trades following the effective date of such revised Fee Schedule.

Payment Processing Services: Payment processing services on the Blokiments platform are provided by third-party service providers. The terms of these providers apply to such services, and the terms mentioned here do not govern these aspects.

Subscription Options: Users can choose between a yearly or monthly subscription plan based on their preferences.

Payment Terms: Subscription fees must be paid in advance, whether for the monthly or yearly option.

Late Payment: If a subscription payment is late, a Premium user will automatically be downgraded to a Light user until the payment is settled.

Refund Policy: No refunds are issued once a subscription fee is paid for the upcoming period. This applies even if the user decides to terminate their account or if the account is terminated due to the user's breach of the terms.

RISKS

GENERAL RISKS (CRYPTOCURRENCIES):

High Volatility: Cryptocurrencies are subject to significant price fluctuations. Their value may change rapidly, resulting in substantial gains or losses. This is especially applicable to all new cryptocurrencies.

Risk of Scams: The cryptocurrency space is susceptible to fraud, including phishing scams, Ponzi schemes, fake investment opportunities, and market manipulations. Users should exercise caution and due diligence when interacting with any cryptocurrency-related activity.

Regulatory Risks: Regulatory frameworks around cryptocurrencies are evolving. Governments may impose restrictions or regulations that affect the trading, holding, or use of cryptocurrencies.

Loss of Private Keys: Cryptocurrencies are stored in digital wallets, which are accessed via private keys. Losing access to the private key may result in the permanent loss of the cryptocurrency.

Security Risks: Hackers may target exchanges and digital wallets, and funds stored on these platforms may be stolen.

PLATFORM-ONLY RISKS:

Public Data as a Main Source: The Blokiments platform relies heavily on publicly available data directly from the blockchain networks (“on-chain data), from various blockchain projects, and other public sources, such as web portals and social networks (“off-chain data”). As such, the accuracy and completeness of this data may not be guaranteed, and it should be used with caution.

Bugs and Technical Issues: As with any online platform, the Blokiments platform may experience bugs, technical issues, or downtime that could affect user access or the accuracy of information displayed.

Third-Party Integrations: The platform integrates with third-party APIs for data aggregation. If any of these third parties experience disruptions or provide inaccurate data, it could affect the Platform's functionality and reliability.

Beta Features: Some features on the Platform may still be in a beta testing phase, which means they might be unreliable or subject to change without notice.

INTELLECTUAL PROPERTY RIGHTS

All Intellectual Property Rights relating to the Platform, all the material used on the Platform, BLOKIMENTS blogs, and social channels, and the Services including, but not limited to, design, structure, layouts, graphical images, and underlying source code belong to BLOKIMENTS. All rights are reserved.

You acknowledge that, except as otherwise agreed between the parties in writing, all Intellectual Property Rights of BLOKIMENTS shall remain with BLOKIMENTS.

By submitting your content directly or indirectly to or through the Platform in any way, including, but not limited to, blogs, message boards, forums, and APIs (whether or not submitted through a third party), you grant BLOKIMENTS a royalty-free, perpetual, irrevocable, transferable, sublicensable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display all of your content (in whole or in part) worldwide and to incorporate it in other works in any form, media, or technology now known or later developed, for the entire term of any rights that may exist in such content.

BLOKIMENTS shall be the sole owner of any derivative work produced by BLOKIMENTS based on or in any way connected with your content and shall have the right to use such derivative work for any purpose, commercial or otherwise, without any further obligation to you.

BLOKIMENTS has the right, but not the obligation, to monitor all conduct and content submitted to or through the Platform and may, in its sole discretion: (i) refuse to publish, remove, or modify content or disable access to content that it considers breaches these Terms; or (ii) suspend or discontinue your opportunity to submit, post or upload content.

THIRD-PARTY CONTENT

BLOKIMENTS links to third-party websites, blogs, or social channels not affiliated or associated with BLOKIMENTS (the “Third-Party Content”). The content is provided for your interest and convenience only, and Blokiments does not monitor or investigate such Third-Party Content. We do not represent this content's quality, suitability, functionality, or legality, and any loss arising from the use or reliance on such material is at your own risk.

The information sources used by Blokiments include:

1. Blockchain Raw Data: Data from Layer 1 blockchain networks, including but not limited to Ethereum, Binance Chain, and other supported blockchains. This data forms the foundation of our analytics.

2. Third-Party API Platforms: We use data aggregation services provided by third-party API platforms. These services are integrated into Blokiments to enrich and compile the available blockchain data.

3. Iframe Integrators: Certain parts of the platform may integrate data through iframe solutions provided by third-party services, which may impact the display or availability of the information provided.

Blokiments accepts no responsibility or liability for any loss resulting from inaccuracies or issues related to these third-party sources. Any opinions expressed in Third-Party Content should not be interpreted as recommendations from Blokiments.

BLOKIMENTS does not represent the quality, suitability, functionality, or legality of the Third-Party Content. The content is only provided for your interest and convenience. BLOKIMENTS does not monitor or investigate such Third-Party Content. BLOKIMENTS accepts no responsibility or liability for any loss arising from the content or accuracy of this material. Any opinion expressed in the material should not be taken as an endorsement, recommendation, or opinion of any member of BLOKIMENTS.

THIRD-PARTY SERVICES

The Blokiments platform may incorporate or rely on services provided by third parties for various functionalities. These third-party services include, but are not limited to, payment processing, data aggregation, and iframe integrations. Blokiments does not own or control these third-party services, and their use is subject to the terms and conditions of the respective third-party providers.

The use of third-party services may involve the following:

1. Payment Processing: Payment services used for subscriptions or transactions on the Platform are provided by third-party payment processors. Blokiments does not store or control payment details, and the terms of the payment service provider will govern any payment-related issues.

2. Data Aggregation Services: Blokiments relies on third-party API platforms for data aggregation to provide users with comprehensive analytics on blockchain projects. The quality, accuracy, and availability of this data depend on the third-party providers.

3. Iframe Integrations: Certain services or data displayed on the platform may be integrated through iframes from third-party providers. The functionality and display of such content are managed by the third parties, and Blokiments cannot guarantee its continuous availability or accuracy.

Users should be aware that any interaction with these third-party services is governed by their respective terms and conditions, which may differ from Blokiments' own Terms and Conditions. Blokiments is not responsible for any issues arising from the use of these third-party services, including, but not limited to, downtime, data inaccuracy, security risks, or disputes over payments.

ACCESSIBILITY OF THE SERVICES

To the maximum extent permitted under Applicable Law, the Services and any product, service, or other item provided by or on behalf of BLOKIMENTS are provided on an “as is” and “as available” basis, and BLOKIMENTS expressly disclaims. You waive any other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title or non-infringement, or warranties arising from a course of performance, course of dealing, or usage in trade. Without limiting the preceding, BLOKIMENTS does not represent or warrant that the Services are accurate, complete, reliable, current or error-free, or free of viruses or other harmful components.

BLOKIMENTS shall make reasonable efforts to ensure the Services are available to You. However, access to the Services may occasionally be disrupted due to necessary maintenance, technical issues, network and system overloads, or events outside BLOKIMENTS’ control. BLOKIMENTS assumes no liability. if the Services or any part thereof are unavailable at any time or for any period.

You acknowledge and agree that:

a) BLOKIMENTS shall not have any liability, contingent or otherwise, to you or any third parties for the correctness, quality, accuracy, security, completeness, reliability, performance, timeliness, pricing, or continued availability of the Services or delays or omissions of the Services, or for the failure of any connection or communication service to provide or maintain your access to the Services, or for any interruption in or disruption of your access or any erroneous communications between BLOKIMENTS and you, regardless of the cause;

b) BLOKIMENTS shall not be liable or responsible in any way for your use of the Internet to connect to the Services or any technical problems, system failures, malfunctions, communication line failures, high Internet traffic or demand, related issues, security breaches, or any similar technical problems or defects you may experience.

c) You are solely responsible for the hardware to access the Services. You are solely liable for the integrity and proper storage of any data associated with the Services stored on your hardware. You are responsible for taking appropriate action to protect your hardware and data from viruses, malicious software, and any inappropriate material. Except as Applicable Law provides, you are solely responsible for backing up and maintaining duplicate copies of any information you store or transfer through our Services. BLOKIMENTS will not be liable to you if your hardware fails, is damaged or destroyed, or any records or data stored on your hardware are corrupted or lost for any reason.

You acknowledge, agree, and understand that sure of the Services (including any new filters) may be beta versions being tested at the time of release. Consequently, such Services or features may be unreliable. BLOKIMENTS does not warrant that the functionality of such Services or features will meet your requirements or that the operation of such Services will be uninterrupted or error-free. BLOKIMENTS reserves the right to discontinue, redesign, modify, enhance, or change any Services at any time and for any reason.

SUSPENSION OF SERVICES

We may, in our discretion and without liability to you, with or without prior notice, suspend or terminate your access to all or some Services in the event of Force Majeure, in case of breach of this Terms or any other case, if BLOKIMENTS would decide so based on any business reasons.

Some of the events that can cause suspension or termination are: 1) attempts to gain unauthorized access to the Website or another user's Account or assisting in others' trying to do so, (2) overcoming software security features limiting the use of or protecting any content, (3) usage of the Service to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities, (4) violations of these Terms, (5) unexpected operational difficulties, or (6) upon the request of law enforcement or other government agencies.

In case your access to our Services is terminated, we may delete or deactivate your Account without your liability.

DISCONTINUATION OF SERVICES

BLOKIMENTS may, in our sole discretion and without liability to you, with or without prior notice and at any time, modify or discontinue, temporarily or permanently, any portion of our Services.

INDEMNIFICATION

You agree to indemnify and hold harmless each member of BLOKIMENTS and their respective directors, officers, employees, agents, contractors, and licensors (together, the “Associated Parties”) immediately upon demand from and against any claims, demands, lawsuits, actions, proceedings, investigations, liabilities, damages, losses, costs or expenses, including reasonable attorneys’ fees, in any way arising out of, about or in connection with, directly or indirectly, your or your authorized representatives:

a) use of, or conduct in connection with, the Services;

b) breach of these Terms or any other policy of BLOKIMENTS; or

c) violation of any Applicable Law or the rights of any other person or entity.

LIMITATION OF LIABILITY

Nothing in these Terms shall exclude or restrict BLOKIMENTS or any of the Associated Parties’ liability for:

a) fraud; or

b) any other matter that cannot be excluded or limited under Applicable Law.

Subject to the foregoing, to the maximum extent permitted by Applicable Law:

a) in no event shall BLOKIMENTS or any of the Associated Parties be liable for any:

i) indirect or consequential loss; or

ii) loss of profit, business opportunity, revenue, or goodwill, in each case, whether arising from breach of contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with authorized or unauthorized use of the Services or these Terms, even if an authorized representative of BLOKIMENTS or any of the Associated Parties has been advised of, knew of or should have known of the possibility of such damages; and

b) BLOKIMENTS and the Associated Parties’ aggregate liability in contract, tort, or otherwise (including any liability for any negligent act or omission), howsoever arising out of or in connection with the performance of its obligations under these Terms in respect of any one or more incidents or occurrences shall be limited to the total net amount of USD 1.000,00.

SUBJECT TO THE PRECEDING, COMPANY'S AGGREGATE LIABILITY FOR CLAIMS BASED ON EVENTS ARISING OUT OF OR IN CONNECTION WITH ANY SINGLE USER'S USE OF THE SERVICES AND SERVICE, WHETHER IN CONTRACT OR TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL IN NO CIRCUMSTANCES EXCEED USD 1.000,00.

EACH PARTY ACKNOWLEDGES THAT THE FEES PAYABLE FOR THE SERVICES HEREUNDER REFLECT THE ALLOCATION OF RISK OUTLINED IN THE LEGAL RELATIONSHIP AND THAT EACH PARTY WOULD NOT ENTER INTO THE BUSINESS RELATIONSHIP WITHOUT THESE LIMITATIONS ON LIABILITY.

Neither party is liable for delay in meeting its obligations due to any cause outside its reasonable control, including riot, war, malicious acts of damage, fires, electricity supply failures, and government authority and mandates.

TERMINATION AND REMEDIES FOR BREACH OF THESE TERMS BY YOU

BLOKIMENTS reserves the right to seek all remedies available at law and in equity for violations of these Terms, including, without limitation, the right to restrict, suspend, or terminate your account or deny you access to the Platform without notice.

BLOKIMENTS shall be entitled to disclose information (including, but not limited to, your user identity and personal details) when cooperating with law enforcement inquiries (whether or not such inquiries are mandatory under Applicable Law) or where permitted under or otherwise compliant with Applicable Law.
